This is an English translation for convenience. The German version (AGB) is authoritative.
1. Scope
These terms apply to all contracts for the use of the web-based software "Chingvoice" between Eray Yilmaz, Europaring 90, 53757 Sankt Augustin, Germany ("provider") and the customer. The offer is directed exclusively at businesses (Unternehmer) within the meaning of § 14 of the German Civil Code (BGB).
2. Subject matter
The provider makes the software available as software-as-a-service for creating quotes, invoices and e-invoices, recording income and expenses and generating reports. Features depend on the chosen plan as shown on the current pricing page. The provider is not a bank or payment service provider. The software does not provide tax or legal advice; the customer is responsible for the accuracy of documents, tax compliance and record retention.
3. Registration
Use requires registration with true and complete details. The Free plan contract is concluded upon registration; paid plans upon booking in the software. Login details must be kept confidential.
4. Trial
The provider may let customers test paid features for 14 days free of charge. Afterwards the account continues on the Free plan unless a paid plan is booked. There is no automatic paid renewal.
5. Prices and payment
Prices on the pricing page at the time of booking apply; all prices are net plus statutory VAT. Fees are payable in advance for the billing period (monthly or yearly) via the payment provider Stripe. Price changes are announced at least six weeks before the next billing period; the customer may then cancel with effect from the change.
6. Term and cancellation
The Free plan runs indefinitely. Paid plans run for the chosen billing period and renew for the same period unless cancelled by the end of the current period. Upgrades are possible at any time; downgrades take effect at the end of the current period. The right to terminate for good cause remains unaffected.
7. Customer obligations
The customer uses the software lawfully, checks documents before sending, backs up data regularly using the export functions and retains business records as required by law.
8. Availability
The provider strives for uninterrupted availability but does not guarantee a specific uptime. The software may be developed further provided essential features remain.
9. Data
Customer data remains the customer's property and can be exported at any time. A data processing agreement under Art. 28 GDPR applies; see also the privacy policy.
10. Liability
The provider is liable without limitation for intent and gross negligence, for injury to life, body or health and under the Product Liability Act. For slightly negligent breach of essential contractual obligations, liability is limited to typical, foreseeable damage; otherwise liability for slight negligence is excluded. Liability for data loss is limited to the recovery effort required with regular backups.
11. Changes
Changes are notified at least six weeks in advance in text form and are deemed accepted unless the customer objects within that period; the notice will point this out.
12. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For merchants, the place of jurisdiction is the provider's registered location. Invalid provisions do not affect the rest.
